When people talk about insider trading, it's usually the illegal variety they're talking about. Illegal insider trading is one of those crimes that drive small investors to distraction The average retail investor never hears about a coming merger or acquisition before it's publicly announced. They never know of a big new contract or a sudden earnings shortfall before it's splashed all over the business pages.
That's the theory. Unfortunately, some corporate insiders have used their knowledge of non-public key corporate events to profit from developments that only a privileged few are party to. When that happens, the integrity of the market is compromised.
Market surveillance teams have identified many suspected instances of insider trading. But enforcement actions in Canada have been rare.

They were in fact all parts of a conspiracy that saw a former secretary to a Disney executive plead guilty to an insider trading Bad luck for both bad guys: the only “investors” to participate were actually undercover FBI agents. The whole affair was Goofy. This information was then passed onto agents from the FBI pretending to be traders. Then, hours before the results were due for release, Ms Hoxie, who was secretary to Ms Mucha from March through until May 25, passed onto Mr Sebbag the news that Disney had made 48 cents a share in the second quarter, beating Wall Street estimates. On May 14, Mr Sebbag took $15,000 (£9,580) from undecover FBI agents at a meeting on Long Island, New York. Mr Sebbag pleaded guilty to

    WHITE COLLAR CRIMES: INSIDER TRADING
    There are two kinds of trading that are referred to as "insider trading": Trading of a security of a company (e.g., shares or options) based on material nonpublic information. The trader need not be a corporate "insider." Trading by insiders of a corporation . There are rules against this type of "insider trading" in most jurisdictions around the world, though the details and the efforts to enforce them vary considerably. In the U.S., for example, there is no general federal law directly prohibiting insider trading. Authority to prosecute cases of insider trading came from the Supreme Courts interpretation of the Securities Exchange Act of 1934 and SEC Rule 10b-5, prohibiting fraud in connection with the purchase or sale of securities. Insider trading was legal in the U.S. until the 1960's. An example of illegal insider trading may be that you, as an assistant to the Chief Executive Officer, learn that your company is going to be taken over before it is announced to the stock exchange. Knowing that such a move is liable to cause the price to rise, you buy shares in the company and subsequently profit from the transaction.
