    Overview
    Securities laws prohibit the use of fraudulent activities in connection with the offer, purchase or sale of securities. The Securities and Exchange Commission (SEC), a governmental agency established to monitor the securities market, regulates securities fraud. States also regulate securities fraud through individual state Securities Commissioners and state securities laws known as "Blue Sky Laws." Securities fraud may be committed by brokers, financial advisors or analysts, corporations or private investors. The most common types of securities fraud include misrepresentation, insider trading, and stock options fraud.
    Misrepresentation
    The majority of securities fraud cases in the United States involve Section 10b and Rule 10b-5 of the 1934 Securities Exchange Act . Section 10b is a general provision that prohibits any person from using fraud in connection with the purchase or sale of any security. Rule 10b-5 specifically prohibits making any false statements or omissions in connection with the sale or purchase of securities. A "false statement" is defined as any statement that misleads or creates a false impression. To be actionable under Rule 10b-5, the false statement or omission must be material. A statement is material if it would be important to a reasonable investor making an investment decision. Additionally, the statement or omission must be made with the intent to deceive, manipulate or defraud. Thus, reasonable mistakes of fact, made without a malicious intent, are not actionable under Rule 10b-5.

Putnam Agrees to Make Restitution and Implement Immediate, Significant Structural Reforms in Partial Resolution of SEC Enforcement Action
FOR IMMEDIATE RELEASE
Washington, D.C., Nov. 13, 2003 The Securities and Exchange Commission today announced that Putnam Investment Management LLC (Putnam), a registered investment adviser located in Boston, Mass., agreed to the entry of an order in the Commission's administrative proceeding relating to alleged market-timing trades by certain of Putnam's employees. In the Order, Putnam has agreed to undertake significant and far-reaching corporate governance, compliance, and ethics reforms. Putnam has also agreed to a process for calculating and paying restitution for losses attributable to excessive short-term and market timing trading by its employees. The amount of civil penalty and other monetary relief to be paid by Putnam remains open and will be determined at a later date. In the Order, the Commission found that Putnam committed securities fraud by failing to disclose potentially self-dealing securities trading by several of its employees. The Commission also found that Putnam failed to take adequate steps to detect and deter such trading activity through its own internal controls and its supervision of investment management professionals. By virtue of this conduct, Putnam breached its fiduciary duties in violation of, among other things, the antifraud provisions of the Advisers Act. Putnam consented to the entry of the Commission's order without admitting or denying its findings, but has agreed not to contest the findings in connection with the later determination of a penalty and other monetary relief.

Southern District of New York Contact: (212) 637-2600 Two Investment Managers Arrested on Fraud Charges Contrary to their representations to their investors, Greenwood and Walsh are alleged to have misappropriated the majority of the investor funds. Among other things, Greenwood is alleged to have used the funds to purchase expensive collectible items and horses, as well as for other personal expenditures. Walsh is alleged to have misappropriated investor funds for himself, and to have made large cash payments to his ex-wife. Both Greenwood and Walsh executed promissory notes in favor of WG Investors with respect to the investor funds they misappropriated and to conceal trading losses. These promissory notes totaled approximately $293 million for Greenwood and approximately $261 million for Walsh. In February 2009, the National Futures Association (NFA) conducted an audit of WG Investors and related entities. In the audit, the NFA discovered that of approximately $812 million purportedly on the books of WG Investors, more than $794 million was booked as receivables due from Greenwood and Walsh and investments in entities that they controlled.
